Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of the Empowering Pathways Leadership Development website and Services. By accessing or using our site or working with us, you agree to these Terms.

1) About Empowering Pathways

Empowering Pathways provides leadership development, executive coaching, mentoring programs, retreats, workshops, and related content (the “Services”). Specific engagements may be governed by a separate proposal, SOW, or agreement; if there is a conflict, that document controls for the covered engagement.

 

2) Eligibility & accounts

You must be at least 18 and have authority to bind your organization (if applicable). If the site offers accounts or event registrations, you are responsible for keeping credentials confidential and for all activities under your account.

 

3) Acceptable use

You agree not to:

  • Violate laws or these Terms;

  • Attempt to disrupt or compromise the site;

  • Infringe intellectual property or privacy rights;

  • Upload harmful, unlawful, or confidential content you do not have the right to share.

We may suspend or terminate access for violations.

 

4) Intellectual property

The site and its content (text, graphics, logos, icons, images, videos, templates, and software) are owned by Empowering Pathways or our licensors and protected by IP laws. Except as permitted by law, you may not copy, modify, distribute, or create derivative works without written permission.

You may download or print reasonable portions of site content for internal, non-commercial use with proprietary notices intact.

 

5) User content

If you submit or upload content (e.g., testimonials, comments, case studies), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content for operating, marketing, and improving the Services, subject to our Privacy Policy. You represent you have rights to share such content.

 

6) Educational information—not legal/medical advice

Our materials and coaching are for educational and professional development. They are not medical, legal, financial, or therapeutic advice and do not create a doctor-patient, lawyer-client, or fiduciary relationship. For crisis or emergencies, follow your organization’s protocols and applicable laws and contact appropriate authorities.

 

7) Events, bookings, and cancellations

Event details (dates, speakers, format) may change. We reserve the right to reschedule or cancel an event; registered attendees will be notified and offered a reasonable option (e.g., reschedule, credit, or refund per the event notice). Client cancellations or no-shows are subject to the specific event or engagement terms stated at purchase or in your agreement.

 

8) Fees & payment

Pricing is typically case-by-case and described in proposals or event pages. Unless otherwise specified, fees are due as stated on the invoice. Late payments may incur fees or service pauses. Taxes, if any, are your responsibility.

 

9) Confidentiality

For paid engagements, mutual confidentiality obligations are set out in the proposal/SOW or a separate NDA. Absent a separate agreement, we treat non-public client information shared for scoping or delivery as confidential and use it solely to provide the Services.

 

10) Third-party services & links

We may integrate or link to third-party tools (e.g., scheduling, webinar platforms, payment processors). Your use of those tools is governed by their terms and privacy policies. We are not responsible for third-party acts or omissions.

 

11) Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee specific outcomes or that the site will be uninterrupted or error-free.

 

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPOWERING PATHWAYS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT.

Some jurisdictions do not allow certain limitations; those limitations apply to the fullest extent permitted.

 

13) Indemnification

You agree to defend, indemnify, and hold harmless Empowering Pathways from claims, damages, liabilities, and costs (including reasonable attorneys’ fees) arising from your misuse of the site or breach of these Terms.

 

14) Changes to the Terms

We may update these Terms from time to time. We will post the revised Terms with a new “Last updated” date. Continued use after changes means you accept the updated Terms.

 

15) Governing law; venue

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of laws. Courts located in [County], North Carolina will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.
